Company Deregistration

An Australia company can apply to the Australian Securities and Investments Commission (ASIC) for it to be voluntarily deregistered provided certain conditions have been met.

A company can apply to deregister if:

  • all members of the company agree to deregister
  • the company is not carrying on business
  • the company’s assets are worth less than $1000
  • the company has no outstanding liabilities
  • the company is not a party to any legal proceedings and
  • the company has paid all fees and penalties payable under the Corporation Act 2001.

Please note that a company does not need to pay its Annual Review fee to the ASIC where its annual review date falls two months before or after the Commonwealth of Australia ASIC Gazette notice that the company is to be deregistered. (The ASIC Gazette is published on Tuesday and Friday every week except for the first and last week of the year).

Shelfcom can prepare and lodge on behalf of your company all necessary documents including Directors and Members (Shareholders) Resolutions and the necessary ASIC Forms and pay the deregistration fee. Our fee for this service includes the ASIC fee and GST.

The actual deregistration will take place two months after the publication of the notice.
