Registered Office
Every Company must have a registered office within New Zealand to which all official communications and notices are sent and be an address for service or notice. We can provide this facility and included with that service is the cost of lodging the company’s annual return. (Excluding the actual Government filing fee).
Directors and Shareholders:
Every Company must have at least one Director and one shareholder, who may be the same person.
There is no requirement for any Director or Shareholder to be resident in New Zealand.
(A company owned by overseas registered shareholders holding 25% or more of its issued capital must file audited accounts with its Annual Return. Nominee shareholders in New Zealand may be utilised to avoid this imposition with the Nominee(s) holding 76% and with Declaration(s) of Trust executed in favour of the ultimate beneficial owner(s)).
